Affiliate Agreement - EliteOrganix

Welcome to the EliteOrganix CBD Affiliate Program! This Agreement outlines the terms and conditions that govern your participation as an Affiliate in the EliteOrganix CBD Affiliate Partnership. By joining our program, you agree to these terms:

1. Definitions

“We,” “us,” “EliteOrganix,” or “eliteorganix.com” refers to TGS.
“You” or “Affiliate” refers to the affiliate partner.
“Website” encompasses your website, email communications, and software applications.
“CBD Affiliate Partnership” refers to the program managed by EliteOrganix that allows participating entities to use coupons or place links on their website, connecting to eliteorganix.com and earning referral fees from Qualifying Purchases.

2. Term Of The Agreement

This Agreement begins upon our acceptance of your application and lasts for one (1) year, automatically renewing for successive one-year terms. We may terminate the Agreement after conducting an investigation.

3. Promotion

EliteOrganix provides approved graphic and textual links (collectively “Links”) for you to link to eliteorganix.com. You’re responsible for integrating these Links and coupons into your site for proper sales tracking. An Account Manager will assist with your promotions.

4. Forbidden Actions

Termination without notice may occur if we determine that you’ve violated prohibited actions, including:

Click Fraud: Coercive, misleading, or fraudulent clicks.
Inappropriate Content: Content promoting discrimination, illegal activities, or violations of intellectual property rights.

5. Referral Fees

EliteOrganix will pay you:

15% Referral Fee for completed orders through your coupon code or affiliate link.
5% commission for completed orders through your sub-affiliate networks.

You won’t receive a referral fee if you place an order under your affiliate account or have a wholesaler account.

6. Reporting

Referral Fee payments will align with reports on Qualifying Purchases available on eliteorganix.com.

7. Payments

Referral fees are paid on the first week of each month, subject to a $25 minimum. No payment is made for sales resulting in refunds or returns. We offer payment via PayPal, with Wire Transfer available for commissions exceeding $1000.

8. Representations and Warranties; Limitation of Liability

Both parties represent:

Full authority to enter this Agreement.
Necessary permits, licenses, and approvals.
No infringement of third-party intellectual property rights.

Neither party is liable for indirect, special, or consequential damages. eliteorganix.com’s liability doesn’t exceed payable Affiliate fees.

9. Fulfillment and Policy

EliteOrganix handles product fulfillment, payment processing, and customer privacy. We protect customer information and may change policies without notice.

10. Intellectual Property Rights

You may use eliteorganix.com’s Marks to establish and promote hyperlinks. We may use your Marks similarly with your approval.

11. Indemnification

Both parties indemnify the other for liability, claims, losses, or damages arising from Agreement breaches or intellectual property rights violations.

12. General Provisions

Parties operate independently.
Compliance with applicable laws is mandatory.
Force majeure events are beyond parties’ control.
Agreement may not be assigned without consent.
Entire Agreement; amendments require written approval.
Unenforceable provisions don’t affect the Agreement.

13. Termination

Termination Without Cause: eliteorganix.com may modify or terminate this Agreement without cause.
Termination For Cause: We may terminate for Agreement breaches.
Affiliate Termination: You may terminate this Agreement with seven days’ notice.

14. Jurisdiction

This Agreement is governed by US laws. Legal actions will be brought to federal or state courts in Ontario.

15. Service Of Notices

Notices under this Agreement must be in writing and sent electronically to [email protected] or via certified mail to TGS, CBD Affiliate Partnership, 11401 SW 40th St Suite 302 Miami, Florida 33165 USA.
